Terms of Service

These Terms of Service ("Terms") govern your use of PropelCode ("the Service"), operated by PropelCode ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using PropelCode, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance. Continued use after the effective date of changes constitutes acceptance.

2. Eligibility

You must be at least 13 years old to use PropelCode. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. You must have the legal capacity to enter into a binding agreement.

3. Account Registration and Security

To use PropelCode, you must create an account with a valid email address and password. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your password confidential and not share your account credentials
• Notify us immediately if you suspect unauthorized access to your account
• Maintain only one account per person (duplicate accounts may be terminated)

You are responsible for all activity that occurs under your account.

4. Service Description

PropelCode is a cloud-based integrated development environment (IDE) accessible from mobile devices, tablets, desktop browsers, and native desktop applications. The Service provides:

• An isolated Linux container for each user with a real terminal, file system, and Git integration
• A Monaco-based code editor (the same editor used in VS Code)
• An AI coding agent that can read files, write code, run commands, and iterate on your behalf
• GitHub integration for cloning repositories and pushing changes
• A credit-based billing system for AI operations

5. Acceptable Use Policy

You agree not to use PropelCode to:

• Violate any applicable law, regulation, or third-party rights
• Distribute malware, viruses, or any harmful code
• Send spam, phishing emails, or engage in any form of abuse
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Circumvent billing mechanisms, exploit free credits, or create multiple accounts to farm starter credits
• Use containers for cryptocurrency mining, torrenting, or any activity unrelated to software development
• Overload, disrupt, or interfere with the Service or its infrastructure
• Access another user's container, data, or account without authorization
• Scrape, crawl, or extract data from the Service through automated means

We reserve the right to suspend or terminate accounts that violate this policy, with or without notice.

6. Intellectual Property

Your code: You own all code, files, and content that you create, upload, or store in your PropelCode container. We claim no ownership over your intellectual property. We do not access or use your code for any purpose other than providing the Service (e.g., executing AI agent operations you initiate).

Our platform: PropelCode, including its name, logo, UI design, marketing content, documentation, and underlying technology, is the intellectual property of PropelCode. You may not copy, modify, or distribute any part of the platform without written permission.

AI-generated code: Code generated by the AI agent within your container is treated the same as code you write yourself — you own it. We make no claim to AI-generated outputs produced during your sessions.

7. Payment and Credits

PropelCode uses a prepaid credit system. Key terms:

• New accounts receive $5.00 in starter credits at no charge
• Additional credits can be purchased through Stripe at published rates
• Credits are consumed by AI agent operations (chat messages, code generation, command execution)
• Credits are non-refundable once used. Unused purchased credits may be refunded within 14 days of purchase
• We may change pricing with at least 30 days notice. Existing purchased credits are honored at the rate at which they were bought
• If your credit balance reaches zero, AI operations will be paused until you add more credits. Your container and code remain accessible.
• Accounts with failed or disputed payments may have AI operations suspended until the issue is resolved

8. AI Services

The PropelCode AI agent uses third-party AI providers (currently Anthropic via OpenRouter) to process requests. By using the AI agent, you acknowledge that:

• Code context from your session is sent to AI providers to generate responses
• AI-generated code is not guaranteed to be correct, secure, or free of bugs. You are responsible for reviewing all AI output before using it in production
• AI providers may change their models, capabilities, or policies. We will communicate significant changes that affect the Service
• We do not guarantee the availability or response time of AI services, as they depend on third-party infrastructure

9. Service Availability

We strive to keep PropelCode available and performant, but we provide the Service on a best-effort basis. We do not guarantee specific uptime percentages or SLA targets at this stage.

We may perform scheduled maintenance with advance notice when possible. Unplanned outages may occur due to infrastructure issues, third-party service disruptions, or security incidents.

We are not liable for any loss or damage resulting from service interruptions caused by circumstances beyond our reasonable control, including natural disasters, internet outages, or third-party service failures.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPELCODE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO PROPELCODE IN THE 12 MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless PropelCode and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

By you: You may delete your account at any time from your account settings. Upon deletion, your container will be destroyed and your personal data will be removed within 30 days.

By us: We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if required by law. We will make reasonable efforts to provide notice before termination except in cases of severe violations.

Effect of termination: Upon termination, your access to the Service ceases immediately. We recommend exporting your code (via Git push) before deleting your account. Data deletion follows our Privacy Policy.

13. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days notice via email or a prominent notice on the Service. Non-material changes (clarifications, formatting) may be made without notice. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
